1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Isla House S.L. ("Company," "we," "our," or "us") regarding your use of the Clim.ai AI voice processing platform and related services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

Clim.ai provides AI-powered voice processing services, including but not limited to:

  • Speech-to-text transcription services
  • Text-to-speech generation services
  • Speaker diarization and identification
  • Voice embeddings and analysis
  • API access to AI voice models

3. Account Registration and Security

3.1 Account Creation

To use our services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use our services for legitimate business and personal purposes, including:

  • Transcribing audio content you own or have permission to process
  • Generating speech from text content you own or have permission to use
  • Building applications that integrate with our API
  • Research and development activities

4.2 Prohibited Uses

You may not use our services to:

  • Process content that violates any law or regulation
  • Generate or process content that is defamatory, harassing, or threatening
  • Create deepfakes or other deceptive audio content without proper disclosure
  • Violate the intellectual property rights of others
  • Attempt to reverse engineer or extract our AI models
  • Use our services to compete directly with us
  • Process content containing personal information of minors without consent
  • Generate content for spam, fraud, or other malicious purposes

5. AI Service Limitations and Disclaimers

5.1 AI Output Disclaimer

IMPORTANT: Our AI models provide automated processing and generation of audio and text content. AI-generated outputs may contain errors, inaccuracies, biases, or unexpected results. We make no warranties regarding the accuracy, completeness, or reliability of AI outputs.

5.2 No Liability for AI Decisions

YOU ACKNOWLEDGE AND AGREE THAT:

  • We are not responsible for any decisions made based on AI-generated outputs
  • You must verify and validate all AI outputs before relying on them
  • AI models may exhibit biases or produce unexpected results
  • We do not guarantee that AI outputs will meet your specific requirements
  • You are solely responsible for the consequences of using AI-generated content

5.3 Content Responsibility

You are solely responsible for:

  • All content you submit for processing
  • Ensuring you have rights to process submitted content
  • The use and distribution of AI-generated outputs
  • Compliance with applicable laws regarding AI-generated content
  • Proper disclosure when using AI-generated content

6. Payment Terms and Billing

6.1 Pricing

Our services are provided on a pay-as-you-go basis. Current pricing is available on our website and may be updated from time to time with reasonable notice.

6.2 Billing

You will be charged based on your actual usage of our services. Billing occurs monthly, and payment is due immediately upon invoice.

6.3 No Refunds

ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE. We do not provide refunds for any services, including but not limited to:

  • Completed AI processing tasks
  • API calls that have been executed
  • Services that do not meet your expectations
  • AI outputs that contain errors or inaccuracies
  • Unused account credits or prepaid services
  • Service interruptions or downtime

6.4 Disputed Charges

Any billing disputes must be reported within 30 days of the invoice date. We will investigate legitimate disputes but reserve the right to make final determinations.

7. Intellectual Property Rights

7.1 Our Intellectual Property

We retain all rights to our AI models, algorithms, software, and platform. You may not copy, modify, or create derivative works of our technology.

7.2 Your Content

You retain ownership of content you submit for processing. By using our services, you grant us a limited license to process your content solely to provide the requested services.

7.3 AI-Generated Outputs

You may use AI-generated outputs subject to these Terms, but we make no representations regarding the intellectual property status of such outputs.

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Service Availability and Support

9.1 Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience outages that temporarily affect service availability.

9.2 Support

We provide reasonable customer support for our services. Support is provided on a best-effort basis and may vary based on your subscription level.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR ANY DAMAGES RESULTING FROM AI-GENERATED CONTENT OR DECISIONS BASED ON OUR SERVICES
  • WE ARE NOT LIABLE FOR ANY BUSINESS LOSSES, LOST PROFITS, OR LOST DATA

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of our services
  • Your violation of these Terms
  • Content you submit for processing
  • Your use of AI-generated outputs
  • Any third-party claims related to your use of our services

12. Termination

12.1 Termination by You

You may terminate your account at any time. Termination does not entitle you to any refunds.

12.2 Termination by Us

We may terminate or suspend your account immediately if you violate these Terms or for any other reason at our sole discretion.

12.3 Effect of Termination

Upon termination, your right to use our services ceases immediately. We may delete your data in accordance with our Privacy Policy.

13. Disclaimers and Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties regarding the accuracy or reliability of AI outputs
  • Warranties of uninterrupted or error-free service
  • Warranties regarding data security or privacy

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of Spain, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in Menorca, Spain, conducted in English.

15. Changes to Terms

We may modify these Terms at any time by posting updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
